LACC Articles of Incorporation

I
The name of this corporation shall be THE LOS ANGELES CITY COLLEGE FOUNDATION.

II
The purposes for which this corporation is formed are:

A. The specific and primary purpose is to provide students and faculty at Los Angeles City College educational assistance in the form of financial aid, facilities and services.

B. The general purposes and powers are as follows:

To sue and be sued.
To make contracts.
To solicit, collect and receive endowments, devises, bequests, Gifts and donations of all kinds of property for its own use, or in trust, for carrying out, or which would assist in carrying out, the objects and purposes of the corporation; and to do all things and acts necessary or proper to carry out each and all of the purposes and provisions of such endowments, devises, bequests, gifts and donation, with full power to mortgage, sell, lease, or otherwise deal with or dispose of the same in accordance with the terms of the particular endowment, devise, bequest, gift, or donation.
To do any other act or thing and to engage in and carry on any other activity in any manner connected with or incidental to, or calculated to promote, assist, aid, or accomplish any of the aforesaid purposes, and for the purpose of maintaining, attaining or furthering the same, to exercise all or any of the said powers, whether as principal, agent, or otherwise, and whether alone or with others, and to have and exercise all other rights, powers, and privileges now or hereafter belonging to or conferred upon corporations organized under the provisions of the General Non-Profit Corporation Law of the State of California, including, but not limited to, the following:

(a) To purchase, lease, or acquire, by gift or otherwise, and to hold, own, maintain, alter, lease, improve, sell, convey, mortgage, pledge, or otherwise dispose of or encumber real and personal property of every kind and character, or any interest therein;

(b) To buy, own, hold, vote, encumber, pledge, mortgage, or sell shares of capital stock in any and all other corporations;

(c) To borrow money, give promissory notes, or bonds therefore, and secure the payment thereof by mortgage or deed of trust upon property real or personal.

(5) To engage in such activities and conduct such activities in such manner as to maintain and preserve its exemption from income taxes imposed by the United States Government and the State of California, to the fullest extent possible under the law.

(6) Notwithstanding any of the above statements of purposes and powers, this corporation shall not engage in activities which in themselves are not in furtherance of the purposes set forth in subparagraph A. of this Article II.

III
This corporation is organized pursuant to the General Nonprofit Corporation Law of the State of California.

IV
The county in this State where the principal office for the transaction of the business of this corporation is located is Los Angeles County.

V
The names and addresses of the persons who are to act in the capacity of directors until the selection of their successors are:

VI
The authorized number and qualifications of members of the corporation, the different classes of membership, if any, the property, voting and other rights and privileges of members, and their liability to dues and assessments and the method of collection thereof, shall be as set forth in the By-laws.

VII
This corporation is one which does not contemplate pecuniary gain or profit to the members thereof and it is organized solely for nonprofit purposes. The property, assets, profits, and net income of this corporation are irrevocably dedicated to the benefit of the students and faculty of the Los Angeles City College, and no part of the profits or net income shall inure to the benefit of any director, officer or member thereof. The corporation shall not carry on propaganda or otherwise attempt to influence legislation. Upon the liquidation or dissolution of this corporation, after providing for the debts and obligations therefore, the remaining assets will not inure to the benefit of any private person but will be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable and/or educational purposes and which as established its tax exempt status under Section 501(c) (3) of the Internal Revenue Code. If this corporation holds any assets of the superior court of the county in which this corporation’s principal office is located, upon petition therefore by the Attorney General or by any person concerned in the liquidation.
